Terms and Conditions

To be an authorized affiliate of The Ultimate Sales Academy for Women, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using the Ultimate Sales Academy for Women  as an affiliate. By signing up for the YOUR SITE NAME affiliate program, you indicate your acceptance of this agreement and its terms and conditions.

Affiliate Agreement

Thank you for your interest in becoming an Affiliate Partner for the promotion and sale of The Ultimate Sales Academy for Women Training Course and associated products and/or programs.

Here are the guidelines we use to manage our Affiliate Program:

We will refer to ourselves as “Vendor” and you as the “Affiliate”.

Vendor and Affiliate are mutually bound by these terms, which are designed to provide benefit(s) to both parties.

Rights & Responsibilities

Affiliate must complete our 1-page application form to create your Affiliate Profile and Account.  (Affiliate Application)

Vendor grants Affiliate the right to promote and sell Vendor’s products and services on a non-exclusive basis.

Other than having the right to promote and sell Vendor’s products/services,, no additional rights are implied, transferred, or granted to the Affiliate and Affiliate may neither imply nor represent any such rights including partnership or ownership of Vendor’s assets.

Vendor will provide suggested content and marketing materials, including sales copy, banner and logo, for use by Affiliate. Alternatively, Affiliate may create its own content which may not misstate, misrepresent, overstate or use poetic license to alter the intent, image, reputation, mission or message of the Vendor.  Nor may Affiliate make any representations, guarantees, or promises not backed by the Vendor.  Doing so makes the Affiliate responsible for any and all negative outcomes that may arise as a result.

Commissions

Affiliate is entitled to agreed upon commissions, as tracked in the Affiliate Portal, based on successful transactions resulting from Affiliate’s marketing strategies

Affiliate will have access to the Affiliate Portal using Affiliate’s Proprietary Account Log-In Link as provided by Vendor as well as full, real-time transparency to Affiliate’s ledger where commissions, including settled, pending, payable, adjusting as in the case of chargebacks, refunds or credits due back against successful transactions are tracked.

Affiliate’s settled commissions will be paid automatically 45 days after the transaction.  Unsettled transactions, including pending credits, will be held on account and adjusted in the next commission cycle.

Commissions will be paid as per the preferred method of the Affiliate, which may be via Pay Pal to Affiliate’s designated account or via USPS mailed check to the address designated by Affiliate on Affiliate’s Application.  Written notice must be given if Affiliate wishes to change these instructions.

TERMINATION

At the sole discretion of the Vendor, this Agreement may be terminated.  Terminations are based on Affiliate’s non-compliance and/or violation of terms. In such case, Affiliate will be entitled to all earned commissions as per the terms of this Agreement.

Miscellaneous

Affiliate Portal information may change from time to time.  It is the responsibility of the Affiliate to remain up-to-date on terms, additions or deletions of content, and all miscellaneous information.

Disputes

This Agreement has been written to be as easy as possible for Vendor and Affiliate to benefit. Should a dispute arise, every reasonable measure will be taken to resolve quickly and fairly and to move forward with no harm to either party.  Should a situation escalate, it will be settled through Arbitration according to the laws of the state of Florida and at the expense of each party as to costs.

Vendor and Affiliate agree to hold each and their associated companies harmless from any losses that may result from this Agreement and to refrain from disparaging each other, their companies, websites at all times.
